NO PURCHASE NECESSARY TO ENTER OR WIN. MAKING A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED OR RESTRICTED BY LAW.

BY PARTICIPATING, YOU AGREE TO THESE OFFICIAL RULES, WHICH CONSTITUTE A BINDING CONTRACT. THIS CONTRACT INCLUDES CERTAIN LIMITATIONS OF YOUR RIGHTS AND REMEDIES, INCLUDING A MANDATORY CLASS ACTION AND JURY TRIAL WAIVER PROVISION.

1. PROMOTION DESCRIPTION

The Prevagen Orange Sweepstakes (the “Sweepstakes”) begins on October 18, 2026, and ends on November 20, 2026, at 5pm CT (the “Promotion Period”).

The Sponsor of this Sweepstakes is Quincy Bioscience (“Quincy” or “Sponsor”), 8401 Greenway Blvd., Suite 800, Middleton, WI 53562.

By participating in the Sweepstakes, each entrant (“Entrant”) unconditionally accepts and agrees to comply with these Official Rules and the decisions of Sponsor, which shall be final and binding in all respects. Sponsor is responsible for the collection, submission and processing of entries and the overall administration of the Sweepstakes. Entrants should direct any questions, comments or concerns regarding the Sweepstakes to Sponsor at hello@prevagen.com during the Promotion Period.

2. ELIGIBILITY

The Sweepstakes is open to legal residents of the 50 United States and the District of Columbia who are at least 18 years of age at the time of entry. The Sweepstakes is subject to all applicable federal, state and local laws and regulations and is void where prohibited or restricted by law.

Sponsor and its respective parents, subsidiaries, affiliates, distributors, retailers, sales representatives, advertising and promotion agencies, and each of their respective officers, directors and employees (collectively, the “Promotion Entities”) are ineligible to enter or win. Household Members and Immediate Family Members of such individuals are also ineligible. “Household Members” means individuals who share the same residence at least three months per year. “Immediate Family Members” means parents, step-parents, legal guardians, children, step-children, siblings, step-siblings or spouses.

3. PRIZES

Six (6) winners will each receive one (1) six-month supply of Prevagen Regular Strength Orange Flavor Chewables, consisting of six (6) 30-count bottles.

Approximate retail value (“ARV”) of each prize: $239.

Prizes are non-transferable and may not be assigned, redeemed for cash or substituted by a winner. Sponsor reserves the right to substitute a prize with another prize of equal or greater value, in its sole discretion. The ARV represents Sponsor’s good-faith determination and is final and binding. If the actual value of a prize is less than its stated ARV, the difference will not be awarded in cash.

Sponsor makes no representation or warranty concerning the appearance, safety or performance of any prize. Restrictions, conditions and limitations may apply. Sponsor will not replace lost or stolen prize items.

Prizes will only be awarded and delivered to eligible addresses within the 50 United States and the District of Columbia. All federal, state and local taxes, fees and surcharges associated with a prize are the sole responsibility of the winner. Failure to comply with these Official Rules may result in forfeiture of the prize.

4. HOW TO ENTER

During the Promotion Period, Entrants may enter the Sweepstakes by visiting the official Prevagen Orange Sweepstakes page at:

Entrants must complete and submit the entry form provided on that page. An entry is considered received when it has been successfully submitted and recorded by Sponsor.

Limit one (1) entry per person per entry period. Duplicate entries will be rejected and may result in disqualification. Entries do not increase an entrant’s chances of winning through any purchase or payment.

Automated, robotic, programmed or fraudulent entries are void and will be disqualified. All entries must be submitted by the Entrant. Any attempt to obtain additional entries through multiple identities, email addresses, registrations, logins or other methods, including commercial sweepstakes-entry services, may void all entries submitted by that Entrant and result in disqualification.

Sponsor is not responsible for lost, late, incomplete, illegible, misdirected or unsuccessful entries, or for inaccurate entry information, whether caused by an Entrant, technical issues or other errors. Sponsor reserves the right, in its sole discretion, to disqualify anyone who tampers with the entry process, violates these Official Rules or acts with the intent to abuse, threaten or harass another person.

All entries must be received by the end of the Promotion Period to be eligible. Sponsor’s database clock will be the official timekeeper.

5. ODDS OF WINNING

The odds of winning depend on the total number of eligible entries received during the Promotion Period.

6. WINNER SELECTION

Six (6) potential winners will be selected in a random drawing from among all eligible entries received during the Promotion Period. The drawing will be conducted by Sponsor or its designated representatives. Sponsor’s decisions regarding the drawing and winner selection are final.

The drawing will take place on or about November 20, 2026 at 5pm CT. 

7. WINNER NOTIFICATION AND PRIZE FULFILLMENT

Potential winners will be notified by email at the email address provided on the entry form approximately one week after the random drawing. Each potential winner must respond and accept the prize as directed by Sponsor within one week of notification.

Sponsor is not responsible for any delay or failure to receive notification, including due to inactive email accounts, spam or junk mail filters, technical difficulties or an Entrant’s failure to monitor the email account provided. Failure to respond within the required timeframe may result in forfeiture of the prize, and an alternate winner may be selected in a separate random drawing.

Each potential winner may be required to complete an affidavit of eligibility and sign a liability and publicity release as a condition of receiving a prize. Failure to complete required documentation may result in disqualification and forfeiture.

Prizes are anticipated to be distributed within approximately two weeks after winner verification, subject to completion of any required documentation.

If a winner notification is returned as undeliverable, a selected winner fails to respond within the specified timeframe, a winner cannot accept or receive the prize, or a winner fails to comply with these Official Rules, the prize may be forfeited and an alternate winner selected.

8. PUBLICITY

Except where prohibited or restricted by law, acceptance of a prize constitutes the winner’s agreement and consent for Sponsor and its designees to use and publish the winner’s name, city and state of residence, photograph or other likeness, voice, biographical information, testimonials, and statements regarding the Sweepstakes or Sponsor for advertising, promotional and other lawful purposes in any media now known or later developed, worldwide, without additional compensation, notice or approval.

9. PRIVACY

Personal information supplied by Entrants will be subject to Sponsor’s Privacy Policy, available at:

By entering the Sweepstakes, Entrants acknowledge that their information will be collected and processed by Sponsor for the administration of the Sweepstakes, winner verification and prize fulfillment, subject to the applicable Privacy Policy and law.

10. ENTRY CONDITIONS, INDEMNIFICATION AND RELEASE

By participating, each Entrant agrees to comply with and be bound by these Official Rules and Sponsor’s decisions, which are final and binding in all matters relating to the Sweepstakes.

Each Entrant agrees to release, defend, indemnify and hold harmless Sponsor, its parent, subsidiaries and affiliated companies, and their respective officers, directors, employees, agents, representatives, advertising and promotion agencies, and other parties involved in sponsoring, fulfilling, administering or promoting the Sweepstakes (collectively, the “Released Parties”) from and against claims, expenses and liabilities arising out of or relating to participation in the Sweepstakes, acceptance or use of a prize, or any related activity, to the extent permitted by applicable law.

Prizes are awarded “as is,” without warranties of any kind, except where prohibited by law.

11. LIMITATION OF LIABILITY

Sponsor assumes no responsibility or liability for incorrect or inaccurate entry information; faulty or failed electronic data transmissions; unauthorized access to, theft, destruction or alteration of entries; technical malfunctions, failures, errors, omissions or interruptions; communications-line failures; or the inaccessibility or unavailability of any network, wireless service, internet connection or website used in connection with the Sweepstakes.

Sponsor is not responsible for any injury or damage to an Entrant’s or another person’s computer or mobile device resulting from participation in the Sweepstakes or downloading materials associated with it.

If the Sweepstakes cannot be conducted as planned for any reason, including fraud, technical failures, unauthorized intervention or other circumstances affecting its administration, security, fairness, integrity or proper conduct, Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Sweepstakes in whole or in part, subject to applicable law.

12. DISPUTES AND GOVERNING LAW

Except where prohibited by law, Entrants agree that any disputes, claims or causes of action arising out of or connected with the Sweepstakes or any prize awarded will be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the State of Wisconsin.

These Official Rules and any disputes arising from the Sweepstakes will be governed by the laws of the State of Wisconsin, without regard to conflict-of-law principles.

To the extent permitted by applicable law, remedies will be limited to actual damages, and Entrants waive claims for punitive, exemplary, consequential or incidental damages, attorneys’ fees and other related costs, as well as any right to seek injunctive or other equitable relief.

ALL PARTICIPATING ENTRANTS AND PARTIES HEREBY WAIVE THEIR RIGHT TO A JURY TRIAL with respect to claims and issues arising out of or relating to the Sweepstakes, whether sounding in contract or tort, including claims of fraudulent inducement, to the extent permitted by law.

Requests for the names of the winners must be received no later than six (6) months after the Promotion Period ends. The winner list will be made available after winner confirmation is complete.
