THE PREVAGEN PICKLEBALL SWEEPSTAKES – OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR ODDS OF WINNING. VOID WHERE PROHIBITED BY LAW.

Eligibility:
The Prevagen Pickleball Sweepstakes (“Sweepstakes”) is open to individuals who are: (i) a legal resident of the fifty (50) United States or the District of Columbia and (ii) at least eighteen (18) years of age.  Sweepstakes is void where prohibited or restricted by law. 

This Sweepstakes is sponsored by Quincy Bioscience (“Sponsor”).  All employees, officers, directors, and agents, and their immediate families or any members of their households, regardless of relationship, of Sponsor or any advertising agency, entity or third party involved with the design, production, execution, distribution, or fulfillment of this Sweepstakes (“Promotion Parties”) are not eligible to participate in the Sweepstakes or to win any Prizes.

Any Sweepstakes Entry received from an ineligible entrant will be disqualified.  By participating in this Sweepstakes, entrants accept and agree to comply with all applicable laws and to be bound by these Official Rules and the decisions of Sponsor, which shall be final on all matters.  Sponsor reserves the right to modify the rules of the Sweepstakes in any way at any time, subject to state or federal law. 

Entry Period:

The Sweepstakes consists of twelve (12) monthly random sweepstakes drawings.  For each month in 2024, the entry period begins on the first of the month and ends on the last day of the month (each, an “Entry Period”).  For example, the January sweepstakes begins on January 1, 2024 at 12:01 AM CST and ends on December 31, 2024 at 11:59 PM CST. Sponsor’s computer is the official clock for the Sweepstakes. All Entries must meet the eligibility requirements set forth above and be received and recorded by Sponsor during the Entry Period to be eligible for that month’s drawing. 

How To Enter:

Enter online by completing and submitting an entry form, which can be found on the following website at http://www.prevagen.com/prevagen-sweepstakes/. Entries submitted in any calendar month will be eligible for that month’s Prize drawing.

Entries do not carry forward from previous months.  A new Entry form must be submitted for each month’s drawing. Limit one (1) Entry per month per person. Duplicate Entries will be rejected and disqualified. Entrants may not win more than once.

Sponsor is not responsible for late, unsent, inaccurate, or incomplete Entries, regardless of cause, including without limitation, due to human or technical error, whether caused by the entrant or by any of the equipment or programming associated with or utilized in this Sweepstakes, or by any technical or human error that may occur in the transmittal of any Entry or the processing of any function on the entrant’s computer system.  Entrants must notify Sponsor of any changed contact information within the Entry Period to remain eligible to win based on an Entry.  Any eligibility disputes will be determined by Sponsor in its sole discretion.  Sponsor reserves the right, in its sole discretion, to disqualify any individual or entity found to be tampering with the Entry process or the operation of the Sweepstakes; to be acting in violation of these Official Rules or applicable laws; or to be acting with intent to annoy, abuse, threaten or harass any third party.  Any use of robotic, automatic, programmed or similar entry methods is prohibited and any such Entries will be disqualified and void.

Prizes, Odds, and Selection of Winners:

Each month, Sweepstakes entrants will enter for a chance to win a one (1) year supply (consisting of 12, 30-count bottles) of Prevagen Extra Strength Mixed Berry Flavor Chewables dietary supplement (approximate retail value of $719.40) and a custom Prevagen Pickleball set (approximate retail value of $67.86) (Total Approximate Retail Value: $787.26) (“Prize”). A total of twelve (12) Prizes will be awarded during 2024, one Prize per Entry Period for a Total Approximate Retail Value of $9,087.12. The chances of winning a Prize will depend on the number of qualifying Entries received during that month’s Entry Period.  No transfer, assignment, cash redemption or substitution of any Prize is permitted.

Drawings will occur on a monthly basis at Sponsor’s headquarters, on or about the seventh (7^th) day after the Entry Period ends, from among the qualifying Entries received by Sponsor during that Entry Period. Sponsor’s selection of the prospective Winners is final and binding in all matters related to the Sweepstakes.   The prospective winner will be notified by email at the email address provided in the entry form approximately one week after the random drawing.

Prospective winners must respond within five (5) business days of being notified or the Prize may be forfeited and another Sweepstakes entrant chosen.  Sponsor shall have no liability for a prospective Winner’s failure to receive notices due to prospective Winner’s spam, junk e-mail or other security settings or for prospective Winner’s provision of incorrect or otherwise non-functioning contact information.

Each winner must satisfactorily complete an affidavit of eligibility showing compliance with these Official Rules, and each winner must also sign a liability and publicity release, allowing Sponsor to use his or her information for advertising or other purposes.  Failure to complete these forms may result in disqualification and forfeiture of the Prize.  In the event of disqualification, Sponsor may select an alternate winner by random drawing from among the remaining eligible Entries.  Entrants consent to the use of their Entry, name, voice, photograph, and other likeness by Sponsor for public relations, advertising, and promotional purposes in perpetuity, worldwide, in any and all media, without further compensation or notification, in accordance with applicable law.

The Prize will be awarded within approximately seven (7) to fourteen (14) days after the winner provides the required affidavit and release to Sponsor and is verified by Sponsor. Receiving a prize is contingent upon compliance with these Official Rules. Winners must allow eight (8) to twelve (12) weeks for delivery of prizes. Winners will be shipped one (1) 30-count Prevagen Extra Strength bottle per month for the twelve (12) months following their confirmation as a winner. Winners are responsible for updating Sponsor regarding any changes of mailing address.

Prizes will be shipped by Sponsor to the address provided by Winner. Prizes will only be awarded and/or delivered to addresses located within the 50 United States or District of Columbia.  Failure to comply with the Official Rules will result in forfeiture of the prize.

 Winners are solely responsible for all applicable federal, state, and local taxes and any expenses associated with any prizes.

Sponsor reserves the right, in its sole discretion, to modify, terminate, or suspend this Sweepstakes for any reason, including in the event that viruses, bugs, unauthorized human intervention or other causes beyond Sponsor’s control corrupt or impair the administration, security, fulfillment or fairness of the Sweepstakes.  Sponsor is not responsible for any human or technological error that may occur in the processing of Entries or in some other aspect of the Sweepstakes nor is it responsible for any error, omission, interruption, deletion, defect, communications line failure, theft or destruction of, unauthorized access to, delay in operation, transmission, or distribution of, or alteration of Entries, whether caused by the sender, any of the equipment or programming associated with or utilized in this Sweepstakes, or otherwise.

Publicity:

Except where prohibited by law, participation in the Sweepstakes constitutes each Winner’s express consent to Sponsor’s and its agents’ use of winner’s name, likeness, photograph, voice, opinions and/or hometown and state for advertising, trade, promotional or publicity purposes in any form of media now known or hereafter developed, worldwide in perpetuity, without further notice, review or approval, permission or compensation.  If you do not agree to these terms, you should not participate in the Sweepstakes.

Privacy Policy:

Any information submitted by entrants will be treated in accordance with Sponsor’s Privacy Policy, accessible at https://www.prevagen.com/privacy-policy/.  By entering the Sweepstakes, you grant Sponsor permission to share your email address, name and likeness, and any other personally identifiable information with Sponsor’s Promotion Partners for the purpose of administration and prize fulfillment, including use in a publicly available Winners list.

Limitation of Liability, No Warranties, and Dispute Resolution:

Entrants hereby release Sponsor and its Promotion Partners from any liability or claim whatsoever related to participation in the Sweepstakes, including without limitation any claim of injury, damage, loss or liability to person or property, due in whole or part, directly or indirectly, to the acceptance, possession, use or misuse of any Prize or participation in this Sweepstakes.

THE SWEEPSTAKES AND PRIZES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, AND SPONSOR HEREBY EXPRESSLY DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, ACCURACY, COMPLETENESS, OR FITNESS FOR A PARTICULAR PURPOSE.  WITHOUT LIMITING THE FOREGOING, SPONSOR DOES NOT GUARANTEE, WARRANT OR REPRESENT THAT THE SWEEPSTAKES WILL BE AVAILABLE, ERROR-FREE, UNINTERRUPTED, PROTECTED FROM UNAUTHORIZED ACCESS OR DISCLOSURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

Except where prohibited, each entrant and winner accepting a Prize agrees that: (a) all issues and questions concerning these Official Rules shall be governed by Wisconsin law without giving effect to any principles of conflicts of law of any jurisdiction; (b) any and all disputes, claims and causes of action at law or in equity arising out of or relating to this Sweepstakes or any Prize awarded shall be (i) resolved individually, without resort to any form of class action; and (ii) filed only in the state courts situated in Minnesota, and entrant hereby consents and submits to the personal jurisdiction of such courts for the purposes of litigating any such disputes, claims or causes of action; (c) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, but in no event shall include attorneys' fees; and (d) under no circumstances will any entrant or winner be permitted to obtain awards for, and hereby waives all rights to claim, punitive, incidental, special, consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.

If a court of competent jurisdiction determines any provision of these Official Rules or any portion thereof to be unenforceable, such provision will be enforced to the maximum extent permissible so as to give the intended effect thereof, and the remainder of these Official Rules will continue in full force and effect.  Any failure by Sponsor to act with respect to a violation of these Official Rules does not waive Sponsor’s right to act with respect to that violation or subsequent or similar violations.  

Identification of Winners and Official Rules:

To request a list of winners or copy of the Official Rules, send a self-addressed postage-stamped envelope to Quincy Bioscience, Attn: Prevagen Sweepstakes, 726 Heartland Trail, Suite 300, Madison, WI 53717, and reference the Prevagen Pickleball Sweepstakes. VT residents may omit return postage.  Requests must be received within ten (10) days of the end of the Entry Period.
